If there is any difference between this text and the German StayBooking Terms (Besondere Bedingungen für StayBooking), the German version is the version agreed between the parties and prevails. The English text has no independent legal standing.

1. Scope and relationship to Wilken Terms
These supplementary terms (“StayBooking Terms”) apply to the purchase, licensing, and use of the StayBooking WordPress plugin and related online services (checkout, license server, customer area/dashboard, plugin updates) of Wilken UG (haftungsbeschränkt), Braugasse 14C, 50859 Cologne, Germany (“Wilken”, “we”).
The general Terms and Conditions of Wilken UG (haftungsbeschränkt) (“Wilken Terms”) also apply. StayBooking is an add-on product. The StayBooking Terms cover product-specific matters; otherwise and for gaps, the Wilken Terms apply. If there is a conflict on StayBooking-specific questions, the StayBooking Terms prevail.
Other brands or products of Wilken UG (haftungsbeschränkt), including VirtusNova and Inclusio, remain governed by their own published or individually agreed terms and are not replaced by these StayBooking Terms.
2. Contracting party and B2B only
The contracting party is exclusively Wilken UG (haftungsbeschränkt). StayBooking is offered only to entrepreneurs within the meaning of Section 14 of the German Civil Code (BGB). Consumers within the meaning of Section 13 BGB are excluded. By ordering or completing checkout, you confirm that you are an entrepreneur acting in the course of your trade, business, or profession.
If you accept these terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity.
3. Subject matter and services
StayBooking is a WordPress plugin for direct booking and management of hotel or lodging offers on your own website. The scope follows the product description on wilken.solutions at the time of purchase and may include: booking forms, availability and room management, pricing and rate logic, confirmation and notification features, admin interfaces in the WordPress backend, domain-bound license validation, plugin updates via the license server, and support while a subscription is active.
Via the customer area (dashboard) on wilken.solutions you can manage licenses, access installation guides, view billing information, request support, and—where offered—add further licenses. Access is via magic link and/or an optional password.
You do not acquire ownership of the plugin or source-code rights beyond the license granted here. Services not expressly described (e.g. individual PMS integrations, accounting advice, tax advice, website design, hosting of your WordPress installation, operation of your booking database) are not owed.
4. Self-hosting, data responsibility, and no guest data storage at Wilken
StayBooking runs on your own WordPress installation (“self-hosting”). Booking, guest, payment, and other operational data collected or processed via StayBooking on your website is generally stored in your WordPress database and on your infrastructure. Wilken does not centrally store, host, or process such guest and booking data for your business purposes.
You are solely responsible as data controller for processing personal data of your guests and other end users in connection with StayBooking on your website. Wilken processes personal data in connection with StayBooking only to the extent required for licensing, checkout, contract performance, and operation of wilken.solutions (see the StayBooking Privacy Policy).
To activate and periodically validate a license, your WordPress installation may contact Wilken’s StayBooking license server. Only license-related technical data is transmitted (e.g. license key, domain, validation result), not your guest or booking records.
5. No guarantee of occupancy, revenue, PMS compatibility, or tax correctness
StayBooking is a technical tool for booking on your website. Wilken does not warrant any particular occupancy rate, minimum number of bookings, revenue, profit, or commercial success of your lodging business.
Wilken does not guarantee error-free, ongoing, or complete compatibility with property management systems (PMS), channel managers, accounting systems, third-party payment providers, or other software. Integrations, interfaces, or exports may be limited, changed, or discontinued.
Pricing, tax, VAT, and levy logic in the plugin supports your configuration. Wilken does not warrant the tax, accounting, or legal correctness of prices, tax rates, levies, or invoice content. You remain solely responsible for the correct tax and legal design of your offer.
Communications with Wilken are not legal, tax, or accounting advice.
6. Updates, site changes, and no ongoing conformity duty
Wilken may develop, change, or adjust StayBooking features. Plugin updates are provided via the license server while a subscription is active. There is no right to keep specific features unchanged.
Wilken is not liable for StayBooking features continuing unchanged after changes to your website, theme, other plugins, WordPress core, hosting, PMS interfaces, browsers, or devices. You are responsible for testing, backups, and adjustments after your own changes.
Maintenance, updates, and support are provided only under an active paid subscription and on a commercially reasonable efforts basis, not as a results guarantee.
7. License
The subscription grants a limited, non-exclusive, non-transferable, non-sublicensable license to use StayBooking on the licensed apex domain (label domain from checkout) while the subscription remains active and these terms are complied with.
One license covers one apex domain (e.g. example.com); subdomains of the same apex domain (e.g. www.example.com, booking.example.com) are generally covered unless expressly agreed otherwise. Simultaneous use on multiple apex domains requires separate licenses. Resale, rental, service-bureau use, or making StayBooking available to third parties without Wilken’s consent is prohibited. Sharing installation information with contractors (e.g. agencies) to set up StayBooking on your licensed domain is permitted.
Multiple licenses may be managed under one customer account; each license may be linked to its own Stripe subscription. Reverse engineering is permitted only to the extent mandatory law requires.
8. Contract formation, subscription, payment, and cancellation
The contract is formed when online checkout (including payment authorization) succeeds and the license(s) are activated. Prices are net plus applicable taxes (including automatic calculation via Stripe Tax where enabled). You must provide accurate billing and, where applicable, VAT ID details at checkout.
Service providers, agencies, and other representatives may purchase on behalf of an end client (“purchase on behalf”). In that case, the invoice recipient named on the invoice is the contractual party for billing and payment; the login email is used for technical license management. The person completing checkout declares their authority to act.
Each license is typically billed as its own subscription (monthly or yearly) and renews automatically for the selected interval unless cancelled in time. You may add further licenses in the customer area; then the prices shown at the time of the add-on order apply.
Individual licenses may be cancelled at the end of the current billing period via the customer area or the designated cancellation page (Cancel subscription). After effective cancellation, access continues until period end; thereafter the license expires, including entitlement to plugin updates via the license server. Prepaid periods are generally non-refundable except where mandatory law requires otherwise.
Invoices and payment methods can be managed in the customer area and/or via the Stripe customer portal. Payments are processed via Stripe.
9. Suspension and deactivation of the license
Wilken may suspend or permanently deactivate access to the customer area, license validation, and/or plugin updates at any time, in particular for non-payment, failed charges, chargebacks, breach of these terms, abusive use, unauthorized multi-domain use on unlicensed domains, or where Wilken is legally required to suspend access.
Suspension or deactivation does not affect your sole responsibility for booking and guest data stored on your WordPress installation. Wilken does not create backups of such data and cannot restore your operational data upon suspension.
10. Privacy
Processing of personal data in connection with purchasing and licensing StayBooking is described in the StayBooking Privacy Policy and, additionally, the Wilken UG Privacy Policy. See the StayBooking Subprocessor List for processors used.
For guest and booking data on your website, you are the controller and must inform your guests accordingly.
11. Warranty and liability
To the extent permitted by law, StayBooking is provided “as is” and “as available”. Wilken does not warrant uninterrupted or error-free operation, security against third-party attacks, or fitness for your particular business purposes.
Wilken is liable without limitation for intent and gross negligence and for injury to life, body, or health. For slight negligence, Wilken is liable only for breach of material contractual duties (cardinal duties), limited to typical foreseeable damage.
To the extent permitted by law, Wilken’s aggregate liability arising out of or relating to StayBooking is limited to the net fees you paid for the affected StayBooking services in the twelve (12) months preceding the event giving rise to the claim.
To the extent permitted by law, Wilken is not liable for unauthorized access, hacking, malware, security incidents, data loss, data corruption, or outages on or relating to your WordPress installation, hosting, database, backups, or StayBooking configuration. Wilken does not create backups of your booking or guest data and does not owe their restoration.
Liability for indirect damages, lost profits, lost bookings, lost occupancy, business interruption, or claims by your guests or third parties relating to your booking or privacy practices is excluded except for intent, gross negligence, or mandatory liability.
The above limitations do not apply where the German Product Liability Act or other mandatory rules provide otherwise.
12. Customer obligations
You provide accurate company, billing, and contact details, email address(es), and domain labels and keep customer-area and WordPress credentials confidential. You use StayBooking lawfully and will indemnify Wilken against third-party claims arising from your website, booking processes, content, guest data processing, or use of StayBooking, except to the extent caused by Wilken’s intent or gross negligence.
You are solely responsible for the security, availability, maintenance, and regular backup of your WordPress installation, database, and all booking and guest data processed via StayBooking. You implement appropriate technical and organizational measures (e.g. updates, backups, access controls, SSL/TLS).
You obtain all required consents, notices, and legal bases for processing personal data of your guests and ensure a privacy-compliant booking flow. If you share access information with third parties (e.g. agencies), you remain responsible for their lawful use within your license.
13. Changes and governing law
Wilken may amend these StayBooking Terms for the future, especially for legal, case-law, or product reasons. Material changes will be communicated appropriately (e.g. email or website notice). Objection and continuance rules in the Wilken Terms apply correspondingly where relevant.
German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. Venue for merchants is Cologne where permitted. Mandatory protective rules of your place of business remain unaffected to the extent they apply to entrepreneurs.
